5RC3, XML Parsing Error on pointing browser at mt.cgi

Fresh install of 5RC3, new database.
Browser = FF355

call mt.cgi returns error:

XML Parsing Error: not well-formed
Location: http://localhost/~dug/mt/mt.cgi?__lang=en_US
Line Number 1, Column 2:#!/usr/bin/perl -w
